Big Freight Life LLC (bigfreightlife.com), based in Dallas, TX, offers both subscription services (agent systems, digital‑twin avatars, AI chatbot integration, and ongoing site/app maintenance) and one‑time projects (custom development, AI chatbot setup and configuration, consulting, and migrations).

Select customers can try a limited version of our agent system for free for 14 days (credit card required). A limited agent team will be available during the trial, restricted to a single defined use case. You’ll receive a mid‑trial reminder on Day 7 and a 48‑hour expiration notice, and will be automatically billed in USD at the end of the trial—unless you cancel two days beforehand. Invoice disputes must be raised within 15 days of receipt.

Our AI features are provided “as‑is,” and we never use your data to train our models without your explicit, written consent—you retain all rights to any content you upload.

Liability is strictly capped at the total fees you paid in the prior 12 months, and we disclaim liability for indirect losses, downtime, data loss, or lost profits. Each engagement is governed by a Statement of Work, which includes clear acceptance criteria, a change‑order process, a 30‑day repair warranty, and a 99.9% uptime target for hosted services.

All activity is governed by Texas law (including UETA and DTPA), with a 30‑day meet‑and‑confer period before binding arbitration in Dallas. For questions, email admin@bigfreightlife.com.

1.0 Acceptance of Terms

 

  • Binding Agreement. These Terms constitute a legally binding agreement between you and Big Freight Life LLC.

  • Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site.

2.0 Changes to Terms & Electronic Transactions

  • We may modify these Terms at any time; we’ll post the updated Terms here with a new “Effective Date.”

  • Under the Texas Uniform Electronic Transactions Act (UETA), your electronic acceptance (e.g., clicking “I agree”) has the same legal effect as a handwritten signature.

  • Your Continued Use. Continuing to access the Site after changes constitutes acceptance.

3.0 Access & Use of the Site

  • License. We grant you a limited, non‑exclusive, non‑transferable license to access and use the Site for personal or internal business purposes.

  • Account Security. If you create an account, you’re responsible for safeguarding your password and all activity under your account.

4.0 Intellectual Property

  • Ownership. All content, design, graphics, logos, and code on the Site are owned or licensed by Big Freight Life LLC.

  • Restrictions. You may not reproduce, distribute, modify, or create derivative works without our prior written permission.

5.0 User Content

  • Definition. “User Content” means any text, images, or other material you post.

  • License. By posting, you grant us a worldwide, royalty‑free, sublicensable license to use, reproduce, and distribute your content.

  • Responsibility. You represent and warrant that you own or have the rights to post your User Content and that it does not violate any law or infringe any third‑party rights.

6.0 Prohibited Activities

You agree not to:

  • Violate any law, including the Texas Deceptive Trade Practices Act.

  • Harass, defame, or threaten others.

  • Upload malicious code or spam.

  • Attempt unauthorized access to any part of the Site.

7.0 Third‑Party Links & Services

The Site may contain links to third‑party websites or services. We do not control—and are not responsible for—their content, privacy practices, or terms.

8.0 Fees & Billing


8.1  Service Types

  • Subscription Services. Available on a recurring‑subscription basis (see Section 9.2 Plans & Fees):

    • Agent development & agent systems

    • Persona digital twins (“avatars”)

    • AI Chatbot integration & conversational support

    • Website design (ongoing updates)

    • Application maintenance plans

  • One‑Time Services. Billed as one‑time charges under Section 9.7 One‑Time Charges. Subscription plans (including AI Chatbot usage tiers), pricing, and billing cycles (monthly or annual) are listed on our Site. All fees exclude taxes and duties.

8.2  Billing & Payment

By subscribing, you authorize automatic charges in advance on your chosen schedule. Keep payment info current.

8.3  Renewal & Cancellation

  • Subscriptions renew automatically unless canceled at least 2 days before renewal.

  • Cancel self‑service in your account or email admin@bigfreightlife.com.

  • No prorated refunds, except as required by law or at our discretion.

8.4  Price Changes

We may adjust fees upon notice; changes apply at next renewal.

8.5  Suspension for Non‑Payment

Failed payments may result in suspension or termination of service until resolved.

8.6 One‑Time Charges

  • Scope. Custom work, consulting, AI Chatbot setup, and other non‑subscription services.

  • Quotation & Acceptance. Detailed in a proposal/invoice; work begins after payment.

  • Refunds. Non‑refundable unless we fail to deliver as described; prorated refunds at our discretion.

8.7  Free Trial

Try a limited agent experience before committing.

  • Duration: 14-day trial

  • Access: A small agent team supporting one defined use case

  • Card Required: Payment method must be added to activate

  • Reminders: We’ll notify you at Day 7 and again 48 hours before billing

  • Auto-Upgrade: Subscriptions begin on Day 15 unless canceled by Day 12

  • Data: If you don’t upgrade, trial data is deleted after 30 days. Upgraded accounts keep all progress

8.8  Currency & Taxes

  • All fees are billed in U.S. Dollars (USD).

  • You’re responsible for any sales, use, VAT, or other taxes arising from your use of our services.

8.9  Invoice Disputes

  • Dispute any invoice by notifying us in writing within 15 days of receipt.

  • Undisputed charges are payable when due; failure to timely dispute waives any claim.

9.0 Disclaimer of Warranties

The Site, Subscription Services, and AI Services are provided “as is” and “as available,” without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10.0 Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is capped at the fees you paid in the 12 months prior to the event giving rise to the claim.

  • We are not liable for indirect, incidental, consequential, or punitive damages, data loss, or service interruptions.

11.0 Indemnification

You agree to indemnify and hold harmless Big Freight Life LLC from any claims, damages, or expenses arising out of your use of the Site or violation of these Terms.

12.0 Termination

We may suspend or terminate your access if you violate these Terms. Upon termination, sections related to IP, liability, and dispute resolution will survive.

13.0 Cross‑References

These Terms incorporate our Privacy Policy and Cookie Policy by reference.

14.0 Governing Law & Dispute Resolution

These Terms are governed by Texas law, including UETA and DTPA. Disputes must undergo a 30-day negotiation period before binding arbitration in Dallas, TX.

15.0 Professional Services

Services are outlined in a Statement of Work (SOW) including deliverables, timelines, and acceptance criteria.

15.1 Scope & Deliverables

Each SOW defines the project scope and expected deliverables.

15.2 Timeline & Change Requests

Timelines are specified in the SOW. Changes require a written change order.

15.3 Service Levels (SLA/SLO)

We aim for 99.9% uptime. SLAs may be outlined in separate agreements.

15.4 IP Transfer

Upon full payment, we transfer IP related to deliverables, excluding pre-existing IP.

15.5 Confidentiality

Each party agrees to protect the other’s confidential information.

15.6 Warranties & Support

We warrant services for 30 days after delivery.

15.7 Force Majeure

We are not liable for delays caused by events beyond our control.

16.0 Electronic Signatures & Records

Electronic records and signatures are valid and binding under Texas UETA.

17.0 AI Services & Content

AI outputs are provided as-is. We do not use your data for training without written consent.

18.0 International & GDPR Compliance

If you are in the EU/EEA/UK, our Privacy Policy explains your GDPR rights. We use standard contractual clauses for cross-border data transfers.
